COMPREHENSIVE BUSINESS-TO-BUSINESS (B2B) TERMS AND CONDITIONS OF SERVICE

1. DEFINITIONS AND INTERPRETATION
In this Agreement, the following capitalized terms shall have the meanings set forth below:
- Agreement: These Comprehensive Business-to-Business Terms and Conditions of Service, along with any Service Specific Terms, Service Level Agreements (SLAs), Data Processing Addendums (DPAs), Fee Schedules, and any documents expressly incorporated by reference.
- Agent / Agent Partner: The registered travel agent, corporate entity, or intermediary that has been approved by Journeymeister to access and utilize the Services through the B2B Portal.
- B2B Portal: The proprietary online platform provided by Journeymeister, accessible via login, used by the Agent to submit applications, track statuses, manage accounts, and download documents.
- Client / Traveler: The end-customer of the Agent, being the natural person holding an Indian passport for whom the Services are being procured.
- Journeymeister / We / Us / Our: Refers to Journeymeister, with its registered office at [Journeymeister Registered Office Address], the entity providing the Services to the Agent.
- Service(s): Collectively, the Visa Services, Attestation Services, Emigration Services, and Tour Package Services offered by Journeymeister to the Agent.
- Service Fees: The fixed or variable fees charged by Journeymeister to the Agent for the provision of the Services, exclusive of Mandatory Third-Party Charges.
- Mandatory Third-Party Charges: Non-Journeymeister fees, including, but not limited to, Embassy/Consulate fees, Visa Application Centre (VAC) charges, governmental levies, airline cancellation fees, hotel deposits, and taxes.
- Application: Any request submitted by the Agent via the B2B Portal for Visa, Attestation, or Emigration Services on behalf of a Client.
- Force Majeure Event: An event or circumstance beyond the reasonable control of Journeymeister, including acts of God, war, pandemic, governmental travel bans, national emergencies, or cyber-attacks.
- Sensitive Personal Data (SPD): As defined in the Privacy Policy, critically including Passport Data, Biometric Data, and Financial Statements of the Client.
2. ACCEPTANCE, TERM, AND SCOPE OF AGREEMENT
2.1 Acceptance and Term
This Agreement is effective upon the earlier of (a) the Agent successfully registering and being approved for a B2B Portal account, or (b) the Agent submitting the first Application or Service request to Journeymeister. The Agreement remains in full force until terminated in accordance with Section 10.
2.2 Scope of Journeymeister’s Role (Intermediary)
The Agent acknowledges that Journeymeister operates solely as an intermediary and logistics service provider between the Agent/Client and the Mandatory Third-Party Controllers (e.g., Embassies, Governments, Airlines, Hotels).
- Decision Authority: Journeymeister is not a governmental authority and holds no power or influence over the approval, rejection, processing time, or conditions imposed by any government, embassy, consulate, or other decision-making body concerning Applications.
- Agency: Journeymeister acts solely on the instructions provided by the Agent. Our legal responsibility is strictly limited to the secure, timely, and correct submission and retrieval of documents as facilitated by the Agent.
3. AGENT PARTNER OBLIGATIONS AND WARRANTIES (B2B CONDUCT)
The Agent hereby warrants and covenants that:
3.1 Lawful Operation and Compliance
The Agent is a legally constituted entity, holds all necessary licenses to operate as a travel agent in its jurisdiction, and will, at all times, comply with all applicable local, national, and international laws, regulations, and statutes, including but not limited to anti-corruption, anti-money laundering (AML), and sanctions laws.
3.2 Data Privacy and Consent (Controller Responsibilities)
The Agent is the Data Controller for all Client SPD submitted to Journeymeister. The Agent warrants that:
- Lawful Consent: Prior to submitting any Client SPD to the B2B Portal, the Agent has obtained explicit, informed, and written consent from the Client for the collection, processing, cross-border transfer, and disclosure of their SPD to Journeymeister and the Mandatory Third-Party Controllers (Embassies/Governments).
- Privacy Policy Flow-Down: The Agent shall ensure that the Client is fully informed of and accepts Journeymeister’s Privacy Policy (Version 3.0), especially regarding international data transfer limitations on the right to erasure.
- Data Integrity: The Agent is solely responsible for verifying the accuracy, completeness, authenticity, and currency of all documents and data submitted. Any rejection, delay, or financial loss resulting from inaccurate or fraudulent data submission is the sole responsibility of the Agent.
3.3 Financial Obligations and Security
The Agent shall:
- Payment Guarantee: Guarantee timely payment of all Service Fees and Mandatory Third-Party Charges, regardless of the ultimate outcome of the Application (e.g., visa rejection does not negate payment obligation for services rendered).
- Portal Security: Maintain the confidentiality and security of its B2B Portal login credentials. The Agent shall be fully liable for all activities, submissions, and financial transactions initiated under its account.
4. VISA AND ATTESTATION SERVICE SPECIFIC TERMS
4.1 Document Submission and Verification
The Agent must upload all required documents to the B2B Portal in the specified digital format (e.g., high-resolution PDF, JPEG) as detailed in the Application Checklist. Submissions after the stipulated cutoff time or with incorrect formats may incur reprocessing fees or significant processing delays.
4.2 Timelines and Service Levels
- Processing Time Disclaimer: All quoted Application processing times (e.g., "5-7 working days") are estimates only, provided by the respective Embassy/Consulate, and are subject to change without notice. Journeymeister does not guarantee and shall not be held liable for any delay caused by the governmental body, including delays due to national holidays, security checks, administrative processing, or Force Majeure Events.
- Premium Services: Where a "Fast Track" or "Premium" service is requested, the Agent understands this only expedites the submission logistics, not the final decision-making process of the governmental body.
4.3 Application Amendments and Cancellation
- Amendments: Once an Application has been submitted to the Mandatory Third-Party Controller, any request for amendment will be treated as a new Application or may result in the forfeiture of all paid fees and mandatory charges.
- Rejection: If an Application is rejected, Journeymeister’s Service Fee and all non-refundable Mandatory Third-Party Charges will be retained to cover the administrative work performed. Journeymeister is not responsible for any consequential loss, damages, or costs incurred by the Client due to Application rejection.
5. TOUR PACKAGE SERVICES SPECIFIC TERMS
5.1 Booking Confirmation and Supplier Intermediation
Journeymeister acts as a booking agent for airlines, hotels, tour operators, and other third-party suppliers. All bookings are subject to the specific terms and conditions, tariffs, and cancellation policies of the respective suppliers.
- Confirmation: A booking is only confirmed upon receipt of the full payment and the issuance of final travel vouchers/tickets. Quote requests do not constitute a confirmed booking.
5.2 Cancellation and Refunds
- Agent Cancellation: Cancellation requests must be submitted in writing via the B2B Portal.
- Cancellation Charges: The refund amount, if any, will be determined by deducting Journeymeister’s administrative fee (as per the Fee Schedule) and the non-refundable charges imposed by the third-party suppliers (e.g., airline cancellation penalties, hotel retention fees).
- Supplier Changes: Journeymeister is not liable for changes or cancellations made by third-party suppliers (e.g., flight schedule changes, hotel closures). We will make reasonable efforts to find alternative solutions but financial liability remains with the Agent/Client and the respective supplier.
6. FINANCIAL TERMS AND PAYMENT DISPUTES
6.1 Fee Structure
All fees payable by the Agent shall consist of two components:
- Service Fees: Journeymeister’s professional fee for administrative, checking, and logistics services.
- Mandatory Third-Party Charges: Fees passed through directly from embassies, governments, or suppliers.
6.2 Payment Terms and Currency Fluctuation
- Payment Schedule: Full payment of both Service Fees and Mandatory Third-Party Charges, including any applicable taxes, must be received by Journeymeister before the Application is physically submitted or the tour booking is ticketed.
- Currency: All transactions conducted in a currency other than [Insert Journeymeister’s Base Currency] are subject to a currency conversion charge and the prevailing exchange rate on the date of transaction or submission. The Agent bears the risk of any adverse currency fluctuations between the quote date and the submission date.
6.3 Billing Disputes
Any dispute concerning an invoice or fee statement must be formally submitted by the Agent in writing within seven (7) calendar days of the invoice date. Failure to dispute within this period shall constitute acceptance of the charges. Undisputed amounts remain payable on their due date.
6.4 Non-Payment and Account Suspension
Journeymeister reserves the right, without prior notice, to:
- Suspend access to the B2B Portal and all processing activities for any Agent account with an overdue balance exceeding [Insert Number] days.
- Hold any documents (including passports) until all outstanding balances related to the Application or the Agent’s account are fully settled. Journeymeister shall not be liable for any delays resulting from such retention.
7. INTELLECTUAL PROPERTY AND B2B PORTAL USAGE
7.1 Ownership
The B2B Portal, including all code, designs, content, trademarks, service names ("Journeymeister"), and proprietary processes used to deliver the Services, are the sole and exclusive intellectual property of Journeymeister.
7.2 Usage License
Journeymeister grants the Agent a non-exclusive, non-transferable, revocable license to access and use the B2B Portal solely for the purpose of procuring Services under this Agreement.
7.3 Prohibitions
The Agent shall not, nor permit any third party to:
- Copy, modify, reverse engineer, or create derivative works of the B2B Portal.
- Use any automated system (e.g., spiders, robots, screen scrapers) to access, monitor, or copy content from the B2B Portal for commercial purposes without prior written consent.
- Use the Portal for any unlawful or fraudulent purpose, including submission of forged or misrepresented documents.
8. LIMITATION OF LIABILITY AND INDEMNIFICATION
8.1 Limitation of Liability (Maximum Cap)
Notwithstanding any other provision in this Agreement, Journeymeister’s total aggregate liability, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Agreement, shall be strictly limited to the Service Fee paid by the Agent to Journeymeister for the specific Application or Service giving rise to the claim.
8.2 Exclusions of Liability
In no event shall Journeymeister, its directors, employees, or agents be liable for:
- Any loss of profit, loss of revenue, loss of anticipated savings, loss of business, or loss of goodwill.
- Any indirect, punitive, incidental, special, or consequential damages.
- Any loss or damage to documents (including passports) caused by courier companies, postal services, or Mandatory Third-Party Controllers.
- Any costs, expenses, or losses incurred due to Application rejection, withdrawal, or processing delay caused by a governmental authority or a Force Majeure Event.
8.3 Indemnification
The Agent shall defend, indemnify, and hold harmless Journeymeister, its officers, and employees from and against all claims, demands, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Any breach by the Agent of its warranties under Section 3 (specifically regarding data consent and lawful operation).
- Any third-party claim brought by a Client against Journeymeister relating to the use or inability to use the Services.
9. DISPUTE RESOLUTION AND GOVERNING LAW
9.1 Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [Insert Governing Jurisdiction, e.g., the Republic of India], without reference to its conflict of laws principles. The parties irrevocably submit to the exclusive jurisdiction of the courts located in [Insert Specific City for Jurisdiction, e.g., Mumbai, India] for the resolution of any disputes.
9.2 Mandatory Mediation
Prior to initiating any legal proceedings, the parties agree to engage in mandatory good-faith mediation. A party must provide written notice of the dispute to the other party, and the parties shall attempt to resolve the dispute through mutually agreed-upon mediation within sixty (60) days of the notice.
9.3 Binding Arbitration
If the dispute is not resolved through mediation, the parties agree that the dispute shall be finally settled by binding arbitration in accordance with the rules of [Insert Arbitration Body, e.g., the Indian Council of Arbitration (ICA)]. The language of the arbitration shall be English, and the venue shall be [Insert Specific City for Jurisdiction]. The award rendered by the arbitrator(s) shall be final and binding.
10. TERMINATION AND SUSPENSION
10.1 Termination by Notice
Either party may terminate this Agreement by providing thirty (30) days written notice to the other party. Any pending Applications must be concluded or formally withdrawn prior to the effective date of termination.
10.2 Immediate Suspension and Termination by Journeymeister
Journeymeister may suspend or immediately terminate the Agent’s B2B Portal access and this Agreement upon written notice if the Agent:
- Fails to pay any amount due under this Agreement on the due date.
- Breaches Section 3 (Agent Obligations), particularly regarding fraud or non-compliance with data privacy laws.
- Becomes insolvent or subject to bankruptcy proceedings.
- Engages in conduct detrimental to the reputation or operational security of Journeymeister.
10.3 Effect of Termination
Termination shall not affect any rights, liabilities, or obligations that accrued prior to the effective date of termination. Sections relating to Indemnification, Limitation of Liability, Dispute Resolution, and Confidentiality shall survive the termination of this Agreement.
11. GENERAL PROVISIONS
11.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, representations, and understandings, whether written or oral.
11.2 Amendments
Journeymeister reserves the right to amend these Terms and Conditions at any time. Notice of material amendments will be provided to the Agent via the B2B Portal or email. Continued use of the Services after such notification constitutes acceptance of the amended terms.
11.3 Severability
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.4 Notices
All formal notices required or permitted under this Agreement shall be in writing and delivered via certified mail or acknowledged email to the last known business address/email of the respective party.
BY USING THE JOURNEYMEISTER B2B PORTAL AND SUBMITTING APPLICATIONS OR SERVICE REQUESTS, THE AGENT CONFIRMS THAT IT HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY THESE COMPREHENSIVE TERMS AND CONDITIONS OF SERVICE.
